1. Acceptance of Terms
Welcome to Pixipass. These Terms of Service (“Terms”) govern your access to and use of the Pixipass website, mobile applications, and services (collectively, the “Service”) operated by Pixipass, LLC (“Pixipass,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Pixipass provides a digital check-in platform that enables users to check in at venues, events, and businesses, and allows businesses to manage visitor check-ins and issue digital passes. The Service is available through our website and mobile applications for iOS and Android devices.
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. User Accounts
To use certain features of the Service, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates applicable laws or regulations
- Impersonate any person or entity, or falsely state or misrepresent your affiliation
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Attempt to gain unauthorized access to any part of the Service
- Use any automated means to access the Service without our express permission
- Transmit any viruses, malware, or other harmful code
- Collect or harvest any information from the Service without authorization
- Use the Service to send spam or unsolicited communications
- Engage in any activity that could damage, disable, or impair the Service
5. Intellectual Property
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, graphics, video, audio, design, and the arrangement thereof) are owned by Pixipass, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes. This license does not include the right to:
- Modify, copy, or create derivative works based on the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove any copyright, trademark, or other proprietary notices
- Transfer the Service to another person or “mirror” the Service on any other server
6. User Content
You may be able to submit, post, or transmit content through the Service (“User Content”). You retain ownership of your User Content, but by submitting it, you grant Pixipass a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content in connection with operating and providing the Service.
You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate any third party’s rights or applicable laws.
7. Third-Party Services
The Service may contain links to or integrations with third-party websites or services. We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.
8. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PIXIPASS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PIXIPASS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
10. Indemnification
You agree to indemnify, defend, and hold harmless Pixipass and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your User Content
11. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
You may terminate your account at any time by following the account deletion process described on our Account Management page.
All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
13. Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
13.1 Informal Resolution
Before initiating any arbitration or court proceeding, you agree to first contact us at resolutions@pixipass.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Pixipass may proceed with arbitration.
13.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in New York, New York, or at another mutually agreed location, or via video conference if agreed by both parties.
The arbitrator shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Terms, including whether a claim is subject to arbitration. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
13.3 Class Action Waiver
You agree that any arbitration or proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and Pixipass each waive any right to a jury trial and any right to participate in a class action.
13.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Additionally, claims may be brought in small claims court if they qualify.
13.5 Opt-Out
You may opt out of this arbitration agreement by sending written notice of your decision to opt out to arbitration-optout@pixipass.com within 30 days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, you may pursue claims in court.
13.6 Arbitration Fees
Payment of filing, administration, and arbitrator fees will be governed by the AAA’s rules. If the arbitrator finds that either the substance of your claim or the relief sought is frivolous or brought for an improper purpose, the arbitrator may require you to pay Pixipass’s fees and costs.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the “Last Updated” date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
We encourage you to review these Terms periodically for any changes.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
16. Waiver
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Pixipass.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pixipass regarding your use of the Service and supersede all prior agreements and understandings.
